ReelRentals, LLC Partner Program Terms and Conditions

Effective Date: December 12, 2024

1. Introduction

This Corporate Partner Agreement (the “Agreement”) is entered into by and between ReelRentals, LLC. (“ReelRentals”), a provider of an online platform for vehicle rentals in film, television, and commercial productions, and the entity or individual (“Corporate Partner”) who has applied for and been accepted into the ReelRentals Corporate Partner Program (the “Program”).

By participating in the Program, Corporate Partner agrees to be bound by these terms. If Corporate Partner does not accept these terms, they must not participate in the Program.

2. Definitions

For the purposes of this Agreement:

• “ReelRentals” refers to ReelRentals, LLC., its subsidiaries, affiliates, and authorized representatives.

• “Corporate Partner” refers to a business or entity that has been approved to participate in the Program.

• “Member” refers to a user of ReelRentals who is eligible to receive benefits from Corporate Partner.

• “Offer” refers to any discounts, services, promotions, or benefits provided by Corporate Partner to ReelRentals Members.

• “Agreement” refers to this document, including any amendments or updates.

3. Program Overview

3.1 Purpose

The ReelRentals Corporate Partner Program is designed to establish mutually beneficial partnerships between ReelRentals and businesses that provide products, services, or exclusive discounts to ReelRentals Members.

3.2 Non-Exclusivity

This Agreement is non-exclusive, meaning both parties remain free to enter into similar agreements with other businesses.

3.3 No Franchise or Employment Relationship

Participation in the Program does not establish an employment, agency, franchise, or joint venture relationship between the parties. Corporate Partner acts as an independent entity.

4. Enrollment and Eligibility

4.1 Application Process

Corporate Partner must submit a completed application, including:

• Business name and registration details

• Description of products, services, or discounts offered

• Contact information and designated representative

ReelRentals reserves the right to approve or reject any application at its sole discretion.

4.2 Minimum Requirements

To qualify for the Program, Corporate Partner must:

• Operate a legally registered business.

• Offer services or discounts relevant to the entertainment, automotive, or production industries.

• Maintain high service standards and positive customer feedback.

4.3 Ineligibility

Corporate Partner may not participate in the Program if they:

• Engage in fraudulent, deceptive, or illegal business practices.

• Offer products or services that conflict with ReelRentals’ brand, mission, or legal obligations.

5. Corporate Partner Obligations

5.1 Exclusive Offers for ReelRentals Members

Corporate Partner agrees to provide discounts, services, or promotional offers that are:

• Clearly defined and honored for the duration of the partnership.

• Unique or providing added value beyond standard public offerings.

5.2 Service & Customer Support

Corporate Partner is responsible for ensuring that:

• Members receive fair and professional treatment.

• Any disputes or complaints are resolved in a timely manner.

• Offers are clearly communicated and not misleading.

5.3 Compliance with Laws

Corporate Partner must comply with all applicable local, state, and federal laws related to its services, advertising, and business operations

6. Marketing & Brand Usage

6.1 Promotion by ReelRentals

ReelRentals may promote Corporate Partner’s services and offers via:

• The ReelRentals website.

• Email newsletters and social media.

• Other marketing channels.

6.2 Use of Logos & Trademarks

Corporate Partner grants ReelRentals a non-exclusive, royalty-free license to use its name, logo, and marketing materials solely for Program-related promotions.

6.3 Restrictions

• Corporate Partner must not modify, misuse, or create derivative works of ReelRentals’ branding.

• Any co-branded marketing materials require prior written approval from ReelRentals.

7. Term & Termination

7.1 Duration

This Agreement begins on the Effective Date and remains in effect until terminated by either party.

7.2 Termination by Either Party

Either party may terminate this Agreement with 30 days’ written notice.

7.3 Immediate Termination by ReelRentals

ReelRentals may immediately terminate Corporate Partner’s participation if they:

• Engage in fraudulent or deceptive business practices.

• Fail to honor agreed-upon offers or discounts.

• Breach any material provision of this Agreement.

7.4 Effect of Termination

Upon termination, Corporate Partner must:

• Immediately stop using ReelRentals branding, logos, and marketing materials.

• Honor any outstanding offers for Members that were confirmed before termination.

8. Liability & Indemnification

8.1 Indemnification

Corporate Partner agrees to indemnify and hold harmless ReelRentals from any claims, damages, liabilities, or expenses arising from:

• Corporate Partner’s business operations.

• False advertising or misrepresentation of Offers.

• Breach of this Agreement.

8.2 Limitation of Liability

• ReelRentals shall not be liable for any indirect, incidental, special, or consequential damages resulting from this Agreement.

• ReelRentals’ liability shall be capped at the total fees paid by Corporate Partner in the past 12 months.

By enrolling in the ReelRentals Corporate Partner Program, Corporate Partner acknowledges that they have read, understood, and agree to these Terms and Conditions.
